Esse termo deriva do verbo ingl\u00eas \u201cto comply\u201d, que significa executar, cumprir, satisfazer ou realizar. Tem como objetivo a manuten\u00e7\u00e3o de processos e procedimentos em conformidade com par\u00e2metros como os preestabelecidos em leis, normas e procedimentos internos por exemplo.<\/p><p>O Brasil est\u00e1 na dire\u00e7\u00e3o correta e, embora tardiamente, d\u00e1 passos largos no combate a impunidade, a corrup\u00e7\u00e3o e um dos passos foi a <span style=\"text-decoration: underline;\">LEI 12.846\/2013<\/span> disp\u00f5e sobre a responsabiliza\u00e7\u00e3o objetiva, administrativa e civil de pessoas jur\u00eddicas pela pr\u00e1tica de atos contra a administra\u00e7\u00e3o p\u00fablica, nacional ou estrangeira.\u201d Al\u00e9m disso, as empresas que querem ter destaque e serem cada vez mais aceitas pela sociedade trilham seus caminhos e dire\u00e7\u00f5es contr\u00e1rias \u00e0s pol\u00edticas antigas. Uma vez exposto a um evento de desvio de conduta ou corrup\u00e7\u00e3o, toda a estrutura da empresa fica abalada, inclusive atingindo as pessoas que nela trabalham e \u00e9 comum a associa\u00e7\u00e3o da imagem de um funcion\u00e1rio com a a\u00e7\u00e3o, por exemplo. A retomada de reputa\u00e7\u00e3o pode ser um processo dif\u00edcil e muitas vezes imposs\u00edvel. DOS ATOS LESIVOS \u00c0 ADMINISTRA\u00c7\u00c3O P\u00daBLICA NACIONAL OU ESTRANGEIRA \u2013 Lei n\u00b0 12.846, de 1\u00b0de agosto de 2013<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0c1acc6 elementor-widget elementor-widget-text-editor\" data-id=\"0c1acc6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Art. 5\u00ba Constituem atos lesivos \u00e0 administra\u00e7\u00e3o p\u00fablica, nacional ou estrangeira, para os fins desta Lei, todos aqueles praticados pelas pessoas jur\u00eddicas mencionadas no par\u00e1grafo \u00fanico do art. 1\u00ba, que atentem contra o patrim\u00f4nio p\u00fablico nacional ou estrangeiro, contra princ\u00edpios da administra\u00e7\u00e3o p\u00fablica ou contra os compromissos internacionais assumidos pelo Brasil, assim definidos:<\/p><p>I &#8211; prometer, oferecer ou dar, direta ou indiretamente, vantagem indevida a agente p\u00fablico, ou a terceira pessoa a ele relacionada;<\/p><p>II &#8211; comprovadamente, financiar, custear, patrocinar ou de qualquer modo subvencionar a pr\u00e1tica dos atos il\u00edcitos previstos nesta Lei;<\/p><p>III &#8211; comprovadamente, utilizar-se de interposta pessoa f\u00edsica ou jur\u00eddica para ocultar ou dissimular seus reais interesses ou a identidade dos benefici\u00e1rios dos atos praticados;<\/p><p>IV &#8211; no tocante a licita\u00e7\u00f5es e contratos:<\/p><ol><li>a) frustrar ou fraudar, mediante ajuste, combina\u00e7\u00e3o ou qualquer outro expediente, o car\u00e1ter competitivo de procedimento licitat\u00f3rio p\u00fablico;<\/li><li>b) impedir, perturbar ou fraudar a realiza\u00e7\u00e3o de qualquer ato de procedimento licitat\u00f3rio p\u00fablico;<\/li><li>c) afastar ou procurar afastar licitante, por meio de fraude ou oferecimento de vantagem de qualquer tipo;<\/li><li>d) fraudar licita\u00e7\u00e3o p\u00fablica ou contrato dela decorrente;<\/li><li>e) criar, de modo fraudulento ou irregular, pessoa jur\u00eddica para participar de licita\u00e7\u00e3o p\u00fablica ou celebrar contrato administrativo;<\/li><li>f) obter vantagem ou benef\u00edcio indevido, de modo fraudulento, de modifica\u00e7\u00f5es ou prorroga\u00e7\u00f5es de contratos celebrados com a administra\u00e7\u00e3o p\u00fablica, sem autoriza\u00e7\u00e3o em lei, no ato convocat\u00f3rio da licita\u00e7\u00e3o p\u00fablica ou nos respectivos instrumentos contratuais; ou<\/li><li>g) manipular ou fraudar o equil\u00edbrio econ\u00f4mico-financeiro dos contratos celebrados com a administra\u00e7\u00e3o p\u00fablica;<\/li><\/ol><p>V &#8211; dificultar atividade de investiga\u00e7\u00e3o ou fiscaliza\u00e7\u00e3o de \u00f3rg\u00e3os, entidades ou agentes p\u00fablicos, ou intervir em sua atua\u00e7\u00e3o, inclusive no \u00e2mbito das ag\u00eancias reguladoras e dos \u00f3rg\u00e3os de fiscaliza\u00e7\u00e3o do sistema financeiro nacional.<\/p><ul><li>1\u00ba Considera-se administra\u00e7\u00e3o p\u00fablica estrangeira os \u00f3rg\u00e3os e entidades estatais ou representa\u00e7\u00f5es diplom\u00e1ticas de pa\u00eds estrangeiro, de qualquer n\u00edvel ou esfera de governo, bem como as pessoas jur\u00eddicas controladas, direta ou indiretamente, pelo poder p\u00fablico de pa\u00eds estrangeiro.<\/li><li>2\u00ba Para os efeitos desta Lei, equiparam-se \u00e0 administra\u00e7\u00e3o p\u00fablica estrangeira as organiza\u00e7\u00f5es p\u00fablicas internacionais.<\/li><li>3\u00ba Considera-se agente p\u00fablico estrangeiro, para os fins desta Lei, quem, ainda que transitoriamente ou sem remunera\u00e7\u00e3o, exer\u00e7a cargo, emprego ou fun\u00e7\u00e3o p\u00fablica em \u00f3rg\u00e3os, entidades estatais ou em representa\u00e7\u00f5es diplom\u00e1ticas de pa\u00eds estrangeiro, assim como em pessoas jur\u00eddicas controladas, direta ou indiretamente, pelo poder p\u00fablico de pa\u00eds estrangeiro ou em organiza\u00e7\u00f5es p\u00fablicas internacionais.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-19daedb elementor-section-boxed elementor-section-height-default elementor-section-height-default wpr-particle-no wpr-jarallax-no wpr-parallax-no wpr-sticky-section-no wpr-equal-height-no\" data-id=\"19daedb\" data-element_type=\"section\" data-e-type=\"section\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;,&quot;_ha_eqh_enable&quot;:false}\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-wide\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-ed51d50\" data-id=\"ed51d50\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-7d5f132 elementor-widget elementor-widget-heading\" data-id=\"7d5f132\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h1 class=\"elementor-heading-title elementor-size-default\">4. OBRIGA\u00c7\u00d5ES da ON Solutions for Life e de seus COLABORADORES<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d7857b2 elementor-widget elementor-widget-text-editor\" data-id=\"d7857b2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Nenhum colaborador poder\u00e1 oferecer, prometer, disponibilizar, direta ou indiretamente ou por qualquer outra pessoa que represente seus interesses, sejam em forma de pessoa f\u00edsica ou jur\u00eddica, valor algum que n\u00e3o estejam devidamente compactuado em contrato formal estabelecido entre a ON Solution for Life e a contratante, contratada, agente p\u00fablico ou parceiro. Em caso de d\u00favidas sobre quaisquer demandas da legisla\u00e7\u00e3o anticorrup\u00e7\u00e3o, pol\u00edticas, diretrizes e normas de compliance, o colaborador deve consultar o gestor de Compliance para esclarecimento e direcionamento.<\/p><p>Toda negocia\u00e7\u00e3o em nome da ON Solutions for Life deve ser devidamente registrada. N\u00e3o \u00e9 permitido a nenhum dos seus colaboradores se comunicarem a quaisquer agentes de governo, agentes p\u00fablicos, parceiros comerciais, nem a concorrentes diretos sem o devido registro, ficando sob a responsabilidade do colaborador identificar a quem se comunicar\u00e1. Em caso de impossibilidade, recorrer ao gestor de compliance para elucida\u00e7\u00e3o de qualquer d\u00favida.<\/p><p>A ON Solutions for Life estabelece ferramentas de controle para identificar a Pessoa Politicamente Exposta (PPEs) que n\u00e3o se limita ao funcion\u00e1rio que \u00e9 candidatando a um cargo p\u00fablico. Segundo o Conselho de Controle de Atividades Financeiras (COAF), \u201cConsideram-se pessoas politicamente expostas os agentes p\u00fablicos que desempenham ou tenham desempenhado, nos \u00faltimos cinco anos, no Brasil ou em pa\u00edses, territ\u00f3rios e depend\u00eancias estrangeiras, cargos, empregos ou fun\u00e7\u00f5es p\u00fablicas relevantes, assim como seus representantes, familiares e estreitos colaboradores\u201d.<\/p><p>As PPE\u00b4s representam riscos para a ON Solutions for Life devido a proximidade delas com a administra\u00e7\u00e3o p\u00fablica, o que viabiliza que elas realizem ou sejam c\u00famplices de um agente p\u00fablico em atos de corrup\u00e7\u00e3o. LEGITIMIDADE DO DIREITO DE DI\u00c1LOGO E REPRESENTA\u00c7\u00c3O POL\u00cdTICA<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9e9a18a elementor-widget elementor-widget-text-editor\" data-id=\"9e9a18a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>O direito de se comunicar \u00e9 uma das evolu\u00e7\u00f5es naturais dos direitos de liberdade de express\u00e3o e de informa\u00e7\u00e3o. Esse direito nos permite de maneira democr\u00e1tica dialogar com interlocutores dos governos nos permitindo expor nossos anseios, demandas e consolidando a harmonia dos interesses entre a sociedade e os governantes. A <a href=\"http:\/\/www.planalto.gov.br\/ccivil_03\/constituicao\/constituicao.htm\">Constitui\u00e7\u00e3o da Rep\u00fablica Federativa do Brasil (1988)<\/a>o <a href=\"http:\/\/www.gddc.pt\/direitos-humanos\/textos-internacionais-dh\/tidhuniversais\/cidh-dudh-direitos-civis.html\">Pacto Internacional de Direitos Civis e Pol\u00edticos PIDCP (1976)<\/a> e o <a href=\"http:\/\/unesdoc.unesco.org\/images\/0004\/000400\/040066eb.pdf\">Relat\u00f3rio MacBride (1980)\u00a0<\/a>s\u00e3o os ratificadores deste direito.<\/p><p>A raz\u00e3o leg\u00edtima de di\u00e1logo com funcion\u00e1rios p\u00fablicos e agentes de governo \u00e9 o tema previamente elaborado e registrado que tem em seu conte\u00fado assunto l\u00edcito, \u00e9tico e relevante para a ON Solutions for Life. Portanto, qualquer assunto que contrarie a legisla\u00e7\u00e3o e a diretriz n\u00e3o possui raz\u00e3o leg\u00edtima. Nesse caso, a abertura de di\u00e1logo \u00e9 totalmente desproporcional \u00e0s raz\u00f5es da \u00e9tica.<\/p><p><em>Agente p\u00fablico apto<\/em> \u00e9 a pessoa f\u00edsica que possui compet\u00eancia, habilita\u00e7\u00e3o e autoridade m\u00ednima funcional que o permita estabelecer a tratativa necess\u00e1ria para dar continuidade as demandas do interesse do objeto do di\u00e1logo.<\/p><p><em>Interlocutores leg\u00edtimos de di\u00e1logo<\/em> s\u00e3o os representantes da ON Solutions for Life (preferencialmente no m\u00ednimo dois colaboradores) que em sua raz\u00e3o legitima abrir\u00e1 di\u00e1logo com, preferencialmente, no m\u00ednimo, dois agentes p\u00fablicos aptos. Ambos os representantes devem estar em seu alcance de compet\u00eancia.<\/p><p><em>Alcance de compet\u00eancia<\/em> \u00e9 o limite de atua\u00e7\u00e3o do colaborador da ON Solutions for Life que deve obedecer \u00e0 hierarquia da empresa assim como n\u00e3o tratar de assuntos que n\u00e3o foram previamente descritos em sua autoriza\u00e7\u00e3o espec\u00edfica. Ele tamb\u00e9m n\u00e3o poder\u00e1 solicitar, nem aceitar que o agente p\u00fablico que ultrapasse suas linhas compet\u00eancias.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6a04702 elementor-widget elementor-widget-text-editor\" data-id=\"6a04702\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Decreto n\u00b0 4.334, de 12 de agosto de 2002: Disp\u00f5e sobre as audi\u00eancias concedidas as particulares por agentes p\u00fablicos em exerc\u00edcio na administra\u00e7\u00e3o p\u00fablica federal direta, nas autarquias e funda\u00e7\u00f5es p\u00fablicas federais.<\/p><p>Art.\u00a01<u><sup>o<\/sup><\/u>\u00a0Este Decreto disciplina as audi\u00eancias concedidas a particulares por agentes p\u00fablicos em exerc\u00edcio na Administra\u00e7\u00e3o P\u00fablica Federal direta, nas autarquias e nas funda\u00e7\u00f5es p\u00fablicas federais.<\/p><p>Par\u00e1grafo \u00fanico.\u00a0\u00a0Para os fins deste Decreto, considera-se:<\/p><p>I\u00a0&#8211;\u00a0Agente p\u00fablico todo aquele, civil ou militar, que por for\u00e7a de lei, contrato ou qualquer outro ato jur\u00eddico detenha atribui\u00e7\u00e3o de se manifestar ou decidir sobre ato ou fato sujeito \u00e0 sua \u00e1rea de atua\u00e7\u00e3o; e<\/p><p>II\u00a0&#8211;\u00a0Particular todo aquele que, mesmo ocupante de cargo ou fun\u00e7\u00e3o p\u00fablica, solicite audi\u00eancia para tratar de interesse privado seu ou de terceiros.<\/p><p>Art.\u00a02<u><sup>o<\/sup><\/u>\u00a0O pedido de audi\u00eancia efetuado por particular dever\u00e1 ser dirigido ao agente p\u00fablico, por escrito, por meio de fax ou meio eletr\u00f4nico, indicando:<\/p><p>I\u00a0&#8211;\u00a0A identifica\u00e7\u00e3o do requerente;<\/p><p>II\u00a0&#8211;\u00a0Data e hora em que pretende ser ouvido e, quando for o caso, as raz\u00f5es da urg\u00eancia;<\/p><p>III\u00a0&#8211;\u00a0O assunto a ser abordado; e<\/p><p>IV\u00a0&#8211;\u00a0A identifica\u00e7\u00e3o de acompanhantes, se houver, e seu interesse no assunto.<\/p><p>Art.\u00a03<u><sup>o<\/sup><\/u>\u00a0As audi\u00eancias de que trata este Decreto ter\u00e3o sempre car\u00e1ter oficial, ainda que realizadas fora do local de trabalho, devendo o agente p\u00fablico:<\/p><p>I\u00a0&#8211;\u00a0Estar acompanhado nas audi\u00eancias de pelo menos um outro servidor p\u00fablico ou militar; e<\/p><p>II\u00a0&#8211;\u00a0Manter registro espec\u00edfico das audi\u00eancias, com a rela\u00e7\u00e3o das pessoas presentes e os assuntos tratados.<\/p><p>Par\u00e1grafo \u00fanico.\u00a0\u00a0Na audi\u00eancia a se realizar fora do local de trabalho, o agente p\u00fablico pode dispensar o acompanhamento de servidor p\u00fablico ou militar, sempre que reputar desnecess\u00e1rio, em fun\u00e7\u00e3o do tema a ser tratado.<\/p><p>Art.\u00a04<u><sup>o<\/sup><\/u>\u00a0As normas deste Decreto n\u00e3o geram direito a audi\u00eancia.<\/p><p>Art.\u00a05<u><sup>o<\/sup><\/u>\u00a0Este Decreto n\u00e3o se aplica:<\/p><p>I\u00a0&#8211;\u00a0\u00c0s audi\u00eancias realizadas para tratar de mat\u00e9rias relacionadas \u00e0 administra\u00e7\u00e3o tribut\u00e1ria, \u00e0 supervis\u00e3o banc\u00e1ria, \u00e0 seguran\u00e7a e a outras sujeitas a sigilo legal; Sistema de Gest\u00e3o de Compliance O sistema de gest\u00e3o de compliance tem como objetivo prevenir, detectar e responder as diretrizes do programa de compliance. Isso ocorrer\u00e1 por meio da identifica\u00e7\u00e3o e avalia\u00e7\u00e3o de riscos, desenvolvimento de pol\u00edticas e procedimentos, treinamentos, comunica\u00e7\u00e3o eficiente e auditorias regulares com monitora\u00e7\u00e3o permanente de todo o sistema. Teoria do cubo m\u00e1gico Um programa de sistema de gest\u00e3o integrada \u00e9 como um cubo m\u00e1gico que cont\u00e9m todos os requisitos para se chegar ao objetivo final. Contudo, ele n\u00e3o tem o controle para alcan\u00e7ar esse objetivo nem por si s\u00f3, nem sem uma integra\u00e7\u00e3o de movimentos.
